Reporting to the General Counsel, the Real Estate Paralegal and Assistant to the General Counsel supports the legal team in handling a wide range of real estate transactions, basic corporate and legal matters. This role involves drafting documents and working with the General Counsel in the management and direction of external counsel.

KEY RESPONSIBILITIES

Deal Transactions and Corporate Responsibilities

  • Assisting in the preparation and management of all aspects of real estate transactions, including sales, purchases, leases, and financing;
  • Conducting title searches, preparing title summaries, and coordinating with title companies;
  • Drafting and reviewing transactional documents, such as loans, promissory notes, resolutions, and day-to-day in-house corporate documentation;
  • Coordinating and assisting in the closing process of real estate transactions;
  • Maintaining and organizing files, including closing checklists;
  • Performing legal research and providing support on various legal issues related to real estate law;
  • Participating in legal debriefing sessions with accounting management and other interested parties following acquisitions and dispositions or new development projects, and acting as a resource for senior management, partners, and auditors;
  • In conjunction with external and internal tax advisors, developing and managing optimal organizational structures for a complex group of limited partnerships, corporations, and joint ventures involved in commercial rental properties and development projects;
  • Working with the General Counsel in the fulfillment of their duties of management of non-legal areas of the business, including information technology, insurance, and Environmental, Social, and Governance (ESG);
  • Assisting with other corporate administrative projects and ad hoc items as required;

Legal Administrative Support

  • Maximizing the value of time through highly effective calendar management by scheduling meetings and boardrooms, creating meeting agendas, and following up with action plans and minutes;
  • Providing timely clerical support by submitting expense and Medical Reimbursement Plan (MRP) reports, credit card reconciliations, coordinating travel arrangements, registering seminars, scanning documents, and filing;
  • Reading, researching, and routing correspondence, drafting letters and documents, collecting and analyzing information;
  • Assisting with preparing and compiling Board meeting and Committee materials as needed;
  • Liaising with external business contacts and working with internal department heads and team members to coordinate the exchange of information;

QUALIFICATIONS

Academic, technical, and professional competence

  • Associate’s degree or equivalent in Paralegal Studies, or a related field;
  • Paralegal certification program of education and training, or an equivalent combination of education and experience;

Work Experience and Job Skill
A demonstrated track record with a minimum of 5 years’ experience:

  • Working in corporate, commercial real estate, and/or financing;
  • Strong understanding of real estate law and transactional procedures;
  • Drafting standard contracts and agreements, managing the use of outside counsel with a view to minimizing legal costs and increasing the efficiency and use of in-house resources including personnel and technology;
  • Proficient in Microsoft Office Suite and legal research databases;
  • Excellent written and verbal communication skills;
  • Able to manage multiple projects simultaneously while meeting strict deadlines;
  • Must be flexible and enjoy the challenges of a dynamic and quickly changing environment including during times of rapid growth and organizational change, and have an entrepreneurial, business-oriented mindset.
