Reporting to the Senior Legal Counsel, M&A and Corporate, the Legal Counsel, Intellectual Property (IP) position provides legal advice and support for IP matters across all Nutrien business units.
This position works closely with leaders and other stakeholders and will provide strategic direction to Nutrien's global IP program, litigation and enforcement stewardship as well as day-to-day support in the development, advising, reviewing, drafting, and negotiating all IP matters.
This position requires a collaborative approach with stakeholders to identify and manage risk in alignment with Nutrien's business strategies.Working with the business, assess, develop and implement a comprehensive short- and long-term global intellectual property platform and strategy .
Promote strategic development and maintenance of the patent portfolio worldwide, including drafting and prosecuting patent applications and/or by overseeing outside prosecution counsel.
Provide strategic counseling, and work with outside counsel, on all facets of intellectual property law, including policies and practices, patent assessments (e.g. patentability, freedom to operate, validity, enforcement), inventorship, and business development transactions.Assist with drafting, reviewing and negotiating intellectual property related agreements including research and development, collaboration, confidentiality, material transfer and license agreements, and the intellectual property provisions of other contractual documents (e.g. manufacturing, packaging, supply and master service agreements).
Provide intellectual property support for a range of strategic transactions, including conducting or coordinating due diligence.
Review Nutrien's public presentations, scientific publications, marketing materials and other public disclosures for intellectual property compliance or concerns.
Review, advise and deploy training on emerging industry trends and legal developments to further Nutrien's compliance, best practices and risk management in the area of intellectual property.
Support the legal department on other initiatives, as required.Comply with all Nutrien's standards, policies, and procedures, including but not limited to the Nutrien code of conduct, respect in the workplace policies, safety, health and environment policies and other applicable policies and practices as implemented or amended.
The position requires an individual with a Law Degree (LLB/JD) and a practicing member in good standing with the Law Society of Saskatchewan, Alberta or Colorado.
Approximately 10+ years of experience at a law firm or as in-house counsel with a focus on an intellectual property and patent portfolio and related workstreams, including exposure to litigation and enforcement.
Ability to effectively collaborate with stakeholders, identify risk and provide practical advice and potential solutions which demonstrate an understanding of overall business objectives and risks and opportunities.
Excellent relationship building and interpersonal skills, based on a foundation of integrity.Ability to work in a fast-paced environment, successfully manage a broad range of daily interactions and activities, and to deal with unexpected projects that require quick turnaround and prioritization.
