You will be responsible for commercial contracting, privacy and data governance, litigation coordination, and cross-functional legal support across the organization. This position plays a critical role in supporting our transition to an intelligent event commerce ecosystem, ensuring legal compliance and risk mitigation across our ticketing, payments, marketing, fundraising, and operations workflows. What You’ll Do Contract Management & Negotiation Draft, review, and negotiate SaaS agreements with clients, vendors, and partners. Advise cross-functional teams on negotiation strategies and contractual obligations. Maintain and improve contract templates and workflows, including updates for jurisdictional compliance (e.g., Quebec law changes, GDPR, ADA). Privacy & Data Governance Provide legal guidance on privacy and data security matters, including international regulations (GDPR, Canadian privacy laws, and emerging U.S. legislation). Collaborate with Security and Product teams on data processing agreements and sub-processor notifications. Support risk assessments for third-party integrations. Coordinate with external counsel on commercial and employment litigation. Develop and implement policies to address client breaches and contractual disputes. Monitor ongoing litigation and maintain master risk registers for legal matters. Process Improvement Streamline legal operations by identifying and implementing process improvements to enhance legal efficiency and compliance. Cross-Functional Legal Support Partner with internal stakeholders across Finance, Product, Sales, Security, HR, and Client Management to provide legal advice on technology, intellectual property, employment, and corporate matters. Serve as a legal point of contact for strategic initiatives, including product launches, integrations, and governance councils. General Counsel Duties Provide day-to-day legal advice and support to all departments. Maintain availability and responsiveness to internal stakeholders via Teams and other communication channels. What You’ll Need Juris Doctor (JD) or equivalent law degree. Member in good standing with a Canadian provincial or territorial bar. Minimum 1–3 years of experience in commercial contract negotiation, preferably in a SaaS or technology environment. Familiarity with privacy, data protection, and intellectual property laws. Experience in a multinational or cross-border legal context. Strong communication skills, sound judgment, and a pragmatic, business-oriented approach to legal problem-solving.
