Legal & Contracts Manager – Thales Location: Ottawa, Canada (Hybrid) Position Summary Thales requires a Legal Counsel, Manager Contracts who will review contracts, identify risk, provide mitigation recommendations, draft and prepare contracts and related agreements, and work closely with bids and proposals cycles and project teams to provide real‑time legal advice. Key Responsibilities Draft, structure, implement and consult on contractual documents, participate in bids and proposals packages, and maintain positive business relationships. Conduct legal research and produce opinions, negotiate key terms with customers, and coordinate with Procurement, Finance and other departments. Continuously review contracts for financial, legal and technical obligations, monitor program changes and attend internal/external meetings. Support and participate in periodic internal and external audits; provide contract synthesis, intellectual property management, legal analysis. Prepare briefings to management and stakeholders, monitor risks, elevate issues and propose action plans. Ensure compliance with internal and external requirements, handle access to information and government filings, assist in export control matters. Minimum Qualifications Law degree (LLB, JD). Current member of a provincial bar association in good standing. Minimum five years of experience practicing commercial law for a law firm, government or corporation. Working knowledge of government procurement policies and procedures. Ability to organize and prioritize contractual and commercial risks and issues. Strong negotiation skills and ability to document negotiated agreements. Preferred Qualifications Experience managing Defence Contracts under the Defense Production Act and Government of Canada procurement processes. Familiarity with Canadian Export Control List, Controlled Goods Program, Industrial Security Program, ITAR and/or EAR.
