The role focuses on drafting, reviewing, and negotiating a broad range of commercial agreements and providing strategic legal support across multiple business functions. Key Responsibilities Draft and review customer and supplier agreements, technology / joint development agreements, licensing agreements, and non‑disclosure agreements. Structure, draft, and negotiate commercial agreements tailored to emerging strategies and developing customer relationships. Work closely with the General Counsel & Secretary, internal business contacts, and external counsel to foster teamwork. Advise on contract negotiations, employment matters, corporate governance, and potential patent, trademark, and corporate tax matters. Manage litigation when required and develop forward‑thinking risk perspectives to mitigate exposures. Address additional legal matters (e.g., due diligence for transactions) as they arise. Qualifications Law degree, licensed under the Ontario Law Society. 1‑3 years of experience as a lawyer in a commercial law setting. Experience reviewing customer and supplier agreements, technology development agreements, and NDAs. Ability to implement legal tools such as contract lifecycle management and regulatory tracking to improve efficiency. Strong mentoring, communication, and independent thinking skills. Adaptability, multi‑tasking, and a team‑player mindset. Undergraduate degree (asset if in Mechanical Engineering). Licensed as a Canadian Intellectual Property Office patent agent (asset). Experience with ESG regulations, M&A, governance, and litigation (asset). Fluent in English; additional language skills are an asset.
