Reporting to the Senior Manager, Corporate Governance, the Governance Counsel supports the daily operational functions of the Corporate Secretariat and the division’s responsibilities for the organization’s enterprise risk management and corporate governance through integration with the risk team. The role involves development, analysis and implementation of corporate governance solutions related to Board of Directors processes, matters and meetings, and includes supporting the management of enterprise risks, the governance relationship with shareholders, mandates and charters, education, evaluation and reporting. The incumbent reviews all disclosure materials for legal compliance and consistency with corporate strategy, stakeholder plans and the risk framework. The role requires expertise in Corporate Finance, Securities Law, Disclosure, Affiliate Relationships Code and serves as the primary liaison for resolving applicable legislative, regulatory and governance risks. Responsibilities Supports the planning and daily functioning of the Corporate Secretariat. Act as a key contributor to the daily function of the Corporate Secretariat portfolio, preparing materials, researching, and interacting with board members. Research and provide advice on board and corporate governance best practices, developments, benchmarking and compliance. Review all disclosure materials for legal compliance and consistency with strategy and risk management framework. Coordinate legal elements of transactional projects such as corporate finance transactions, alternative financing and joint venture arrangements. Interact with internal stakeholders and external counsel to develop detailed materials for the Board of Directors in response to new business and corporate transactions. Support the policy administration process. Requirements Bachelor of Laws (LLB) or Juris Doctor (JD). Member in good standing with the Law Society of Ontario. One (1) or more years of experience in corporate governance, corporate structuring, corporate finance, securities law, transactional or corporate secretarial work. Knowledge of the electricity or energy industries preferred. Knowledge of legislation and common law impacting the organization. Superior judgment, maturity and decision‑making skills to engage board and executive management on highly sensitive matters. Maintain consistency in preserving confidentiality and solicitor/client privilege. Superior verbal and written communication skills. This position is based in a hybrid environment allowing for remote work two days per week, generally Tuesday to Thursday onsite.
