In-house Paralegal

Overview :
Under the direction of the General Counsel, the In-house Paralegal is responsible for providing comprehensive legal support to our legal department and business operations. You will leverage your deep understanding of legal procedures, documentation, and regulatory compliance to assist our team in a wide range of tasks. Reporting to the General Counsel, you will collaborate closely with attorneys, legal assistants, and cross-functional teams to ensure legal matters are handled efficiently and effectively.
Responsibilities :
1) Human Resources:
- Prepare offers letters, NDAs, employment contracts, agreements, etc.
- Review the potential candidate's CV, work related visa status and raise any potential issues.
- For terminations, gather details and draft separation agreement; communicate payout, prepare COBRA notices, Resignation Acknowledgement letters, etc.
- Monitor employee work visas to ensure they may continue to legally work for the company.
2) Corporate Entity Management:
- Ensure annual filings for all entities are submitted on time (Registered Agents, State filings).
- Maintain Minute Books
- Manage signatures for annual resolutions.
3) Intellectual Property:
- Maintain TMs portfolio (applications, registrations, office actions).
- Keep spreadsheets and files up-to-date.
- Gather material/evidence for application and litigation matters as required.
4) Immigration Matters:
- Work closely with Immigration lawyers on complex files.
- Collect whatever is needed from applicant and also collect company information to be used in preparation of the application.
- Review and proofread support letters and forms for applications that will need to be finalized by management.
- Monitor and follow up on applications already in progress.
5) Legal Team Support:
- Support the Legal Team as required to draft/revise agreements such as releases, NDAs, suppliers, educators, influencers, photographers, models, insertion orders, etc.
- Prepare distributor agreements, notices of co-distribution, amending agreements as required.
- Process settlement release agreements as required.
- Prepare contest and giveaways Terms & Conditions and releases.
- Monitor Image Usage rights and prepare communications for expiring model images.
Requirements:
- 7+ years in a similar role.
- DCS (Diploma of Collegial Studies) in paralegal technology or other relevant training/experience combination.
- Proficient in Microsoft Office Suite (including Word, Excel and Outlook)
- Good writing skills.
- Meticulous/attentive to detail.
- Ability to maintain confidential and sensitive information.
- Commissioner of Oaths or Notary Public (or equivalent) would be an asset.

Responsabilités :
1) Ressources humaines:
- Préparer des lettres d'offre, des clauses de non-divulgation, des contrats de travail, des accords, etc.
- Examiner le CV du candidat potentiel, le statut du visa de travail et signaler tout problème éventuel.
- Pour les licenciements, recueillir les détails et rédiger l'accord de séparation ; communiquer le paiement, préparer les avis COBRA, les lettres d'accusé de réception des démissions, etc.
- Surveiller les visas de travail des employés pour s'assurer qu'ils peuvent continuer à travailler légalement pour l'entreprise.
2) Gestion des entités commerciales:
- Assurer que les dépôts annuels pour toutes les entités sont soumis en temps voulu (agents enregistrés, dépôts auprès de l'État).
- Maintenir les registres des procès-verbaux.
- Gérer les signatures pour les résolutions annuelles.
3) Propriété intellectuelle:
- Maintenir le portefeuille des marques de commerce (demandes, enregistrements, mesures de bureau).
- Garder les feuilles de calcul et les fichiers à jour.
- Rassembler les éléments/matériaux pour les demandes et les litiges en cas de besoin.
4) Problèmes d'immigration:
- Travailler en étroite collaboration avec les avocats en immigration sur les dossiers complexes.
- Rassembler tout ce qui est nécessaire de la part des candidats et collecter également des informations sur l'entreprise à utiliser dans la préparation de la demande.
- Examiner et relire les lettres de soutien et les formulaires pour les demandes qui devront être finalisées par la direction.
- Suivre et faire le suivi des demandes déjà en cours.
5) Soutien à l'équipe juridique:
- Soutenir l'équipe juridique au besoin pour rédiger/réviser des accords tels que des libérations, des clauses de non-divulgation, des accords avec les fournisseurs, les éducateurs, les influenceurs, les photographes, les modèles, les ordres d'insertion, etc.
- Préparer des accords de distribution, des avis de codistribution, modifier les accords si nécessaire.
- Traiter les accords de libération de règlement si nécessaire.
- Préparer les conditions générales des concours et des cadeaux et les accords de libération.
- Surveiller les droits d'utilisation d'images et préparer des communications pour les images de modèles arrivant à expiration.
Exigences :
- 7+ ans d'expérience dans un rôle similaire.
- DCS (Diplôme d'études collégiales) en technologie parajuridique ou autre combinaison de formation/expérience pertinente.
- Maîtrise de la suite Microsoft Office (y compris Word, Excel et Outlook).
- Bonnes compétences en rédaction.
- Méticuleux/attentif aux détails.
- Compétence à maintenir des informations confidentielles et sensibles.
- Être commissaire à l'assermentation ou notaire public (ou équivalent) serait un atout.
