Micro Cap Catalyst is an investor platform focused on undervalued micro-cap public companies. We engineer premium shareholder outcomes.
The Role
We are seeking a seasoned executive to serve as a seconded CEO of a small-cap public company at an inflection point. You will take command, stabilize and clean up the business, create measurable shareholder value, and then hand over to a permanent CEO. The mandate is fixed-term (typically 6 to 18 months) with a defined exit.
Responsibilities
• Assess and stabilize liquidity, governance, regulatory standing and legacy issues in the first 90 days.
• Reset the cost base, board and management team, and restore credibility with regulators, lenders and investors.
• Lead value-creating transactions (financings, asset sales, mergers, Plans of Arrangement or take-privates) alongside our legal and capital markets team.
• Recruit and onboard the permanent CEO, and deliver a clean handover. Qualifications
• 10+ years of senior executive experience, including prior CEO, COO or CFO service at a public company.
• Proven turnaround, restructuring or special-situations track record.
• Strong command of public-company governance, disclosure and capital raising.
• Decisive, direct, calm under pressure, and comfortable with a defined end date. Terms Retainer plus performance incentive tied to shareholder outcomes. Toronto-based, with on-site presence as the mandate requires. To apply: Send your resume and a short summary of two or three turnarounds you have led, including the shareholder outcome. All inquiries are confidential.
