Your role, your impact

As Junior Legal Counsel, Corporate and Securities Law, you'll report to the Director, Legal Affairs and Assistant Corporate Secretary. You'll collaborate closely with the legal team based in Montreal and various departments across the company. Your main responsibilities will involve preparing documentation to ensure compliance with securities legislation and corporate governance for Alithya and its subsidiaries worldwide. You'll also support due diligence processes and documentation related to acquisitions. This position is ideal for a legal professional eager to learn from experienced lawyers and contribute within a collaborative, forward-thinking environment at the forefront of digital transformation.

Your day-to-day

  • Assist in drafting the company's continuous disclosure obligations in accordance with applicable Canadian and U.S. securities laws and regulations (management information circular, annual information form, etc.) and coordinate the filing thereof on SEDAR+ and EDGAR under guidance from senior legal team members;
  • Review, analyze and prepare various reports and declarations according to established procedures and guidelines, including assisting with reporting insider matters, coordinating filings on SEDI, TMX Linx and the AMP and maintaining related internal records;
  • Support other members of the legal department and members of other departments with various corporate matters (including the finance department with quarterly filings and the human capital department with compensation and incentive plan matters);
  • Participate in mergers and acquisitions, intra-group corporate reorganizations, and financing matters (conduct due diligence, draft and coordinate closing documents);
  • Assist with maintaining corporate records for the company and its subsidiaries, including preparing and reviewing resolutions and coordinating the filing of federal, provincial and extra-provincial reports in Canada (and the equivalent in the United States and internationally).

Keys to your success

  • Bachelor of Law and member of the Barreau du Québec (Quebec Bar);
  • 3 to 5 years of experience acquired in a law firm and/or a publicly traded company;
  • Experience in corporate and business law;
  • Strong drafting skills of legal documents in both English and French, and ability to work in a bilingual environment;
  • Excellent analytical skills and attention to detail;
  • Demonstrated business acumen to find practical solutions to issues addressed;
  • Excellent organizational skills, ability to work under pressure and management of priorities;
  • Flexibility and collaborative mindset;
  • Autonomy, initiative, professionalism and discretion;
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook), including ability to manipulate data in complex Excel spreadsheets.

Extra edge

  • Knowledge of and experience in securities law;
  • Knowledge of SEDI, SEDAR+, EDGAR, and Workiva.

Language skills

  • French: Proficient
  • English: Proficient
