I. JOB PURPOSE

Develops and implements programs and services to support governance operations and manages development of and reporting on the strategic plan.

II. KEY RESPONSIBILITIES

  • Manages CNO's governance support function to:
  • Create and implement best/current practice processes within the team and across the organization to provide effective governance support for Council.
  • Research and recommend governance approaches to ensure Council and CEO have current and relevant information about modern governance practices.
  • Lead preparation for Council and Executive meetings, including development of meeting materials, working collaboratively in a cross-functional setting.
  • Collaborate with and support the CEO and organizational leaders to effectively prepare for and support Council meetings and functions.
  • Develop and implement Council and committee educational programs, including annual orientation and ongoing learning that meets Council and Committee development needs.
  • Maintain stewardship of accurate and complete governance and Council records; report on governance compliance as needed.
  • Oversee the annual election and appointments process for Council and Committee members; liaise with the Ontario public appointments office for publicly appointed members.
  • Oversee Nominating Committee function and processes.
  • Oversee organizational strategic plan governance processes; manage strategic plan development and reporting (to staff, Council, and external system partners).
  • Act as a collaborative steward to promote organizational health by participating in leadership forums, contributing to operational planning, prioritizing and budgeting processes, and promoting cultural initiatives.
  • Identify policy gaps, deficiencies, and enhancements in relation to governance; contribute to development and implementation of policies and practices supporting governance delivery.
  • Recommend and monitor the team's budget, adjusting plans and programs as necessary; proactively identify shortfalls and implement mitigating strategies.
  • Hire, train, develop, and evaluate employees accountable to the Manager in accordance with CNO policies and best practices, building team capabilities and capacity.

III. REQUIRED QUALIFICATIONS

Education and Experience

  • Completion of an undergraduate degree in business, political studies, law, or a related discipline.
  • Accreditation related to governance (e.g., Accredited Director through the Chartered Governance Institute of Canada, or designation through Governance Professionals of Canada) or comparable continuing education program.
  • Relevant professional and leadership experience including responsibility for governance within a similar-sized organization.

Hiring Range:

$159, $169,772.00

Full Salary Range:

$159, $191,714.00
