Associate Lawyer, Corporate/M&A/Private Equity

Our Client

Is a leading international law firm recognized for its premier Corporate/M&A and Private Equity practice. The Toronto office operates as an extension of New York, providing access to top-tier U.S. transactional work and New York-level compensation.

Responsibilities

  • Advise on sophisticated U.S.-governed Corporate/M&A and Private Equity transactions.
  • Draft and negotiate purchase agreements, shareholders' agreements, and other key transactional documents.
  • Conduct due diligence and support deal structuring and execution across cross-border mandates.
  • Collaborate directly with New York partners and senior lawyers on high-value private equity deals.
  • Work closely with clients and contribute to strategic decision-making throughout the transaction lifecycle.
  • Operate within a fully integrated, cross-border team.

Position Details

  • Full-time, permanent position based in Toronto.
  • Hybrid schedule: four days per week in office.
  • Highly integrated U.S.-Canada practice with NYC-level work quality and expectations.
  • Opportunity to work on premier private equity and M&A mandates identical to New York Big Law.
  • Compensation aligned with the New York Cravath scale.

Requirements

  • 4–6 years of Corporate/M&A and/or Private Equity experience, ideally from a leading New York or international firm.
  • Member in good standing of the New York Bar; Canadians working in NYC strongly encouraged to apply.
  • Excellent drafting, analytical, and transactional execution skills.
  • Strong communication abilities and a collaborative, high-performance mindset.
