Reporting to Bermuda-based Senior Legal Counsel, the Governance Administrator will provide administrative and project support in connection with corporate governance activities and requirements across the Butterfield Group. The role will serve as backup to the Senior Governance Specialist when required, record minutes and administer corporate governance forums as needed. The role will have primary responsibility for the performance of designated governance processes on a day-to-day basis. Responsibilities include: coordination, assessment and analysis of committee effectiveness and performance, and maintaining a central directory of corporate governance information and documentation.
Your responsibilities will include:
• Providing administrative and logistical support for the governance activities assigned to management committees across the Butterfield Group.
• Assisting with scheduling meetings, coordinating availability, and liaising with relevant stakeholders, as directed.
• Supporting the preparation and circulation of meeting agendas and governance materials under the guidance of the Senior Legal Counsel, Senior Governance Specialist or relevant chairperson.
• Receiving, collating, and distributing meeting packs and supporting documents to authorised participants.
• Attending meetings as required and assisting with minute-taking and preparation of draft minutes.
• Assisting with tracking of committee decisions, and the production of draft resolutions and signature-ready documents within defined service standards.
• Helping with the maintenance of corporate records and directories relevant to assigned governance forums, including databases and digital filing systems.
• Assisting with research and data gathering for governance and compliance projects, including committee performance assessments and onboarding support.
• Coordinating logistical tasks associated with governance-related training campaigns.
• Supporting the maintenance of a central repository of corporate governance information and documentation.
• Carrying out other administrative tasks as may be assigned by the Senior Legal Counsel to support the effective delivery of governance processes and the general administration of the Legal department.
Your qualifications and skills include:
• Post secondary education from an accredited institution.
• Minimum of two years' experience in a corporate administration or corporate governance related role within a regulated environment.
• Knowledge of minute preparation and an understanding of corporate governance principles in a regulated environment is a definite asset
• Exceptional organisational skills, with the ability to manage competing priorities effectively.
• Excellent interpersonal skills and the ability to work independently and as part of a global professional team.
• Proficiency in the use of Microsoft Office applications with ability to learn new software and tools.
• Proven experience handling confidential and sensitive information, coupled with the ability to exercise discretion and demonstrate good judgement.
• Honesty, integrity, and trust building behaviours in all dealings
• Superior written and oral communication skills.
• Willingness to work extended hours, weekends, and public holidays may be required from time to time to meet business needs.
