Your Impact
OpenText is seeking a commercial Senior Legal Counsel to join our in-house legal team performing commercial transactional for an established but growing line of business. This is a diverse role that will require negotiating and drafting a wide variety of commercial technology agreements in support of various Americas-region sales activity, including cloud services agreements, software licenses, and professional services. The role is also one of trusted Legal advisor supporting a growing and dynamic line of business, and working with cross-functional groups, researching novel product offerings, and handling escalations are also key components of this position. In this capacity the successful candidate is expected to perform analysis and provides guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create and deliver training, and manage projects of benefit to the Legal team and department.

What You Need To Succeed

  • Interest in learning new technologies and business models; vision to create new templates and streamline processes; and willing to make recommendations and participate in the decision-making process.
  • Strong experience working in a legal department or a law firm handling commercial matters.
  • 8+ years previous experience conducting contract negotiations, preferably concerning technology.
  • Enthusiastic, hard-working, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleagues.
  • Experience doing business with regulated industries, and understanding or interest in data privacy/ data security a plus.
  • Solid "hands on" experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/ cloud based product agreements, professional services contracts, and maintenance and support agreements.
  • Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions.
  • Background in contract support for a variety of business functions including sales, marketing, engineering and other internal clients.
  • Ability to advise management on risks across the business and strategies for mitigation.
  • Good judgment, integrity, and attention to detail.
  • Think creatively. Act professionally

This role is a hybrid position (in office 3 days a week), with OpenText offices in Mississauga, Richmond Hill, Waterloo, Toronto for Canada and in Alpharetta, and Gaithersburg for US.
