We make the world better, and you can too. **Corporate Paralegal**: **About the team**: Kinaxis is looking for a Corporate Paralegal to join our growing Legal team. Reporting to the Senior Legal Counsel, Corporate, the Corporate Paralegal will be a proactive and organized team player, and will support the Legal department with corporate filings, records maintenance and corporate governance. The Corporate Paralegal will bring a global mindset as they support our entities, lawyers and legal professionals across the world. As part of this role, the Corporate Paralegal will be responsible for obtaining physical signatures and sending/receiving legal documentation by courier, and will therefore be required to work out of our Ottawa office three days per week. **What you will do**: - Maintain corporate minute books for all entities; - Attend to corporate matters for global subsidiaries (including annual filings and meetings) with the assistance of local advisors as required; - Draft routine resolutions, governance documents, corporate forms and filings; - Prepare for the incorporation of new legal entities in various jurisdictions; - Coordinate the signing, notarization, legalization and authentication of documentation; - Assist with the development and implementation of corporate policies and processes; - Drafting, filing and managing various business entity documents with federal and provincial/state agencies; - Assist in online filings of securities and corporate governance documents with regulatory bodies; and - Work with other members of the Legal team on special projects and initiatives. **What we are looking for**: - Diploma or certificate in accredited paralegal program - Minimum 5 years of experience as a paralegal in-house or at a law firm; high tech environment is an asset - Experience working with publicly traded Canadian corporations - Experience with subsidiary maintenance (global experience preferred) - A keen eye for detail and high sense of urgency - Thrives in a fast paced, dynamic environment, with an exceptional ability to prioritize - Effective communication skills; both verbal and written - Excellent customer service and positive attitude - Proactive and initiative-taking **What we have to offer**: - **Challenging Work - **We love solving highly complex problems.
