**Role Overview**
As a NASDAQ and TSX-listed company, we are currently looking for an experienced Vice President & General Counsel to help execute our strategic growth plan and help build our corporate governance. Working with and influencing both external and internal stakeholders, this role will be at the forefront of fast-evolving legal issues relating to intellectual property, corporate transactions, public company & corporate governance, and employment.
**What You'll Do**
- Serve as a strategic thought partner and legal advisor to management on business strategy, commercial transactions, intellectual property, and operations
- Prepare required securities filings and ensure compliance with applicable securities laws and regulations.
- Review, analyze and draft a variety of legal documents, including contracts, corporate secretarial documents, real estate leases, and litigation filings
- Serve as Corporate Secretary to the Board of Directors, assist with preparation of Board materials, charters, minutes and other required matters
- Continuously review and manage relationship with external counsel
- Draft, negotiate and review corporate transactions documents, including IP filings, equity financings, strategic partnerships, and vendor relationships
**What you Bring to the Team**
- Strong academic credentials including a J.D. degree from a top law school
- Membership in one state or (provincial) bar
- Minimum 5 years of legal experience at a top law firm or in-house legal dept.
- M&A and/or corporate finance experience is an asset
- Background in health care and/or drug development is an asset
- Knowledge of equity-based compensations structures and systems
- Excellent communication and analytical skills
- Be a problem solver not someone who just flags issues of concern
