Legal Counsel

Hiive is looking for an ambitious and dynamic corporate/commercial lawyer to join our growing team. Hiive is a fintech startup, backed by seasoned professionals with decades of experience in private equity and capital markets. The company has built a revolutionary marketplace product for buyers and sellers of shares in private late-stage venture-capital backed companies and “Unicorns,” bringing a rational, beautiful and modern technological interface to a messy and traditional market. In this role, you would be a foundational part of our legal/regulatory and operations team. Reporting to the COO/General Counsel, you would work with us to build out our legal and regulatory infrastructure, support our risk management and compliance functions, investigate legal aspects of new products and businesses, and liaise with outside counsel and other stakeholders. You will work with us (on an in-person or hybrid basis) in our HQ in Vancouver, British Columbia, one of the most beautiful and livable cities in the world, with easy access to world-class skiing, mountain biking, hiking and outdoor pursuits. **Key Responsibilities & Challenges**: - Advise the business on a wide range of commercial and corporate issues, including corporate governance, contract drafting and negotiation, securities and capital markets compliance, employment, employee equity, and cross border matters. - Maintain relationships with outside legal counsel, and support the maintenance of relationships with key regulators in Canada and the US. - Identify opportunities to build or improve Hiive’s legal infrastructure, standard documents and processes. - Stay up to date and educated on current laws and best practices affecting Hiive’s business and operations. **Requirements**: - JD or LLB (or equivalent), and member in good standing of the Law Society of Ontario or the Law Society of British Columbia OR a licence to practise law in a US state. - 5+ years of relevant legal experience at a top US or Canadian law firm or corporate in-house setting. - Resourcefulness and the ability to solve difficult problems. - Ability to communicate priorities and deadlines with internal and external stakeholders, and build constructive high-trust relationships across teams and functions. - A track record of sound judgement and composure in high-pressure situations. - A willingness to live and work in-person 3-5 days per week in Vancouver, BC, Canada. **Nice to have**: - Experience in a tech start-up, high growth company, or private equity or venture capital fund. - Experience advising fintech companies or financial institutions, such as investment banks, private funds, exchanges or trading platforms, or broker dealers/intermediaries on matters involving market regulation, compliance and enforcement. **Compensation & Perks**: - Competitive salary, commensurate with experience and contribution. - Comprehensive 100% employer-paid health and dental benefits, and a health spending account. - A dedicated seat at our HQ in the Mt.
