We are looking for a Junior Corporate Law Clerk for our Legal Department, reporting to the Chief Legal Officer and working under the direction of the Assistant Corporate Secretary.
- Perform corporate law clerk functions including incorporations, amendments, amalgamations, minute book maintenance including the preparation of annual resolutions, registration of business names, limited partnerships and due diligence corporate searches
- Manage and maintain banking tasks for each entity in North America and Europe
- Coordinate and maintain corporate records of TSG’s subsidiaries and ensure required filings and registrations are completed on a timely basis in accordance with applicable law
- Serve as a key point of coordination between multiple stakeholder groups, including Finance, Tax and US-based subsidiaries
- Assist with the creation, organization, merger/amalgamation and windup of entities, due diligence, tax and other reorganizations, as required
- Member of ILCO with thorough knowledge of legal procedures, statutes and regulations applicable to commercial and corporate law
- A post-secondary diploma in a law clerk program or equivalent years of experience. 3 years recent legal experience in corporate commercial work in a law firm or in house legal department environment
