New Position

- **Mission**:
Provide expert contract review, negotiation, and compliance management to safeguard business interests, minimize risk, and ensure regulatory adherence. Through strategic collaboration, efficient document management, and proactive legal research, support seamless operations and informed decision-making across all contractual engagements.
**Expected Outcomes (includes but not limited to):**:Contract Review & Negotiation**:

- Review, draft, and negotiate construction, sales, supplier-chain, contractor, client, factory, investor, shareholder, and other contracts to ensure clarity, accuracy, and compliance with legal and financial policies.
- Identify potential risks and liabilities in contracts and provide strategic feedback to mitigate exposure.
- Ensure contracts adhere to industry regulations, company policies, and best practices.

**Contract Administration & Compliance**:

- Monitor contract performance, obligations, and deadlines to ensure compliance with agreed terms.
- Manage contract amendments, renewals, terminations, and maintain accurate records and documentation.
- Develop and implement efficient contract management processes to improve compliance and risk management.

**Collaboration & Stakeholder Management**:

- Collaborate with internal teams (e.g., legal, finance, procurement, operations) to align contract terms with business objectives.
- Serve as the primary point of contact for contract-related inquiries and provide guidance to stakeholders.
- Stay updated on industry trends, legal developments, and best practices in contract management.

**Document Management**:

- Organize and maintain legal documents, insurance records, bonding documents, contracts, filings, and correspondence.
- Draft and review construction/manufacturing contracts and agreements to ensure accuracy and compliance with applicable laws.
- Support the preparation of legal reports, correspondence, and case summaries.

**Research and Analysis**:

- Conduct legal research on construction/manufacturing laws, regulations, and industry standards.
- Analyze legal data to ensure adherence to applicable laws and regulations.

**Compliance Support**:

- Monitor changes in laws and regulations relevant to the industry (e.g., HCRA, Tarion) and assist in ensuring company-wide compliance.
- Develop and update internal policies and procedures as needed.
- Ensure all required insurance coverages are in place and up-to-date for assembly operations and active projects.
- Monitor legal deadlines to ensure timely filings and responses.

**Administrative Support**:

- Coordinate with external legal counsel as needed.
- Draft and review legal correspondence, including letters, memoranda, and reports. Maintain a well-organized system for tracking and responding to legal inquiries.
- Work closely with internal teams to provide legal guidance and support on various business initiatives.
- Strong understanding of contract law, terms, and conditions.
- Risk management and compliance knowledge.
- Ability to analyze legal data and industry regulations.
- Exceptional verbal and written communication for negotiation and stakeholder collaboration.
- Ability to explain complex contract terms clearly to internal teams and external parties.
- Advanced negotiation tactics to secure favorable terms and mitigate risks.
- Efficient document management systems for contracts, filings, and correspondence.
- Strong time management to monitor deadlines and ensure timely filings.
- Meticulous review of contracts to identify risks, liabilities, and discrepancies.
- Strategic thinking to resolve disputes and optimize contract terms.

**Nice to haves**:

- Experience with construction contracts (CCDC).
- Ability to evaluate budgets and financial implications of contracts.
- Familiarity with Contract Lifecycle Management (CLM) systems for efficient contract drafting and tracking.
- Relationship management with internal teams, vendors, and stakeholders.
- Conflict resolution skills to handle disputes effectively.
- Project management experience.
- Flexibility to stay updated on industry trends, legal developments, and regulatory changes.
- Relevant certifications in contract administration or legal compliance to enhance credibility.
