**About The Role**
The Chief Legal Officer is the chief legal advisor for FNBC, reporting to the President & CEO. This role provides strategic legal advice to the President, Senior Management, Board Chair and Board of Governors, ensuring the Bank’s governance, policies, and actions are compliant with applicable legislation and align with best practices in Banking.
**Here’s What You’ll Be Doing**:
- Provide strategic and expert legal advice to the President, Senior Leadership Team, and Board of Governors
- Revise, draft, interpret, and negotiate the company’s contracts (customer, supplier, employee) and various contract clauses, as well as other legal documents.
- Provide legal advice in all relevant legal fields, such as commercial law, corporate law, competition law, regulatory law, intellectual property, and protection of personal information and privacy.
- Ensure that the company's everyday activities comply with applicable laws, regulations, guidelines, and company policies.
- Provide legal advice and assistance with requests for proposals and bids, including federal, provincial, and local bids.
- Manage external counsel and oversee litigation strategy.
- Develop and manage governance and administrative policies to ensure compliance and alignment with best practices.
- Ensure the effective operation of the Board of Governors through sound legal advice and governance support.
- Serve as a trusted advisor on legal matters, conflict resolution, and strategic decisions.
- Oversee records management and establish data governance standards.
**About You**

- Strong analytical skills with the ability to anticipate and mitigate legal risks effectively.
- Superior writing skills with the ability to translate complex legal concepts for diverse audiences.
- Proven ability to foster strong relationships with internal and external stakeholders while upholding ethics and integrity.
- Demonstrated success in managing litigation and contract negotiations.
- Experience designing and implementing governance frameworks and records management systems is an asset.
**Qualifications**:
- A Law Degree (LLB or JD) from a recognized institution is required.
- Licensed to practice law in Canada and in good standing with the applicable Law Society
- Advanced knowledge of Canadian banking law and contract law
- Minimum of 10 years of progressive legal experience, with demonstrated expertise in administrative or public law, and governance.
- Proven experience in advising senior leadership teams, Boards, or similar governance structures in legal and strategic matters.
- At least 5 years of experience leading, mentoring, or managing legal professionals, including external counsel.
- Substantial experience with policy development
- Knowledge of the legal context of Canadian financial institutions is strongly preferred.
