**Overview**
The Chairperson of the Board of Directors serves as the primary leader and representative of the Board, providing strategic direction, governance oversight, and leadership. The Chairperson is responsible for facilitating meetings and ensuring that the board operates in accordance with legal and regulatory requirements, while promoting a culture of transparency, accountability and collaboration.

**Key Responsibilities**:

- Facilitates board meetings, ensuring that agendas are prepared.
- Encourage participation and ensure all board members have the opportunity to contribute their perspectives.
- Summarize discussions and decisions, and ensure accurate minutes are recorded.
- Act as the primary spokesperson for the Board.
- Lead the Board of Directors in strategic planning and decision-making processes.
- Foster an inclusive and respectful environment for board discussions and deliberations.
- Ensure the board functions effectively and fulfills its responsibilities.
- Ensure compliance with organizational bylaws, governance best practices, and legal requirements.
- Reference UMSU governing documents throughout meeting to ensure compliance.

**Qualifications**:

- Proven experience in a leadership role, preferably within a non-profit or similar organization.
- Excellent communication, interpersonal, and organizational skills.
- Understanding of governance principles and practices.
- If a previous student of the University, has been graduated for a minimum of 2 years.

**Frequency of Meetings**:

- During summer months: 1 board meeting per month
- At least 2 board meetings per month except in December where there will be 1
- Board meetings will be a maximum of 4 hours

**Compensation: Starting at $250 per meeting**
