Our Corporate Department has an excellent opportunity for a Corporate Paralegal in the Orlando Office. This is a non-exempt position that reports to the Corporate Practice Area Coordinator. Our Corporate Paralegal will work primarily with corporate, real estate and litigation attorneys in the Orlando office, but will also have the opportunity to work with business attorneys throughout the firm on a variety of matters and tasks.

**Responsibilities**:

- Handles all aspects of the formation of entities, including preparing articles of incorporation/ organization, bylaws, operating agreements, shareholders agreements, and other governing documents, stock/membership certificates, resolutions, “S” Corp elections, SS-4 forms, and related documents.
- Coordinates the filing of corporate and other documents with governmental agencies, including the IRS.
- Assists with the preparation of legal documents such as contracts, stock and asset purchase agreements, transactional documents for mergers and acquisitions, assignments, bills of sale, stock transfer documents, closing certificates and other closing documents for review, approval, and use by attorney.
- Maintains client corporate record books, and prepares all incorporation proceedings, qualifications, mergers, and dissolution documents.
- Conducts UCC, lien, judgment, pending suit, bankruptcy, and other due diligence searches, and orders corporate documents from various county and state offices.
- Performs due diligence review in connection with transactions, including reviewing contracts and results of due diligence searches.
- Interacts with clients on a regular basis regarding various legal matters.
- Supports the securities practice and is involved in public and private securities offerings and securities compliance matters, including preparing Form IDs and Form Ds, as well as assisting with the preparation of Form 8-Ks, committee resolutions, and other corporate governance matters.
- Assists in coordinating closings including preparing closing critical dates memoranda, closing checklists, and closing documents, coordinating the delivery and execution of documents, and preparing closing binders.
- Oversees practice area form files.
- Other duties as requested and assigned.

**Requirements**:

- Education and experience - minimum of 2 years of experience.
- Bachelor’s degree is preferred or Paralegal Certificate at a minimum; equivalent combination of education, training and experience may substitute for education requirement.
- Technical, language, mathematical, reasoning skills.
