Stokes Law’s Corporate Services department is seeking a talented and experienced corporate paralegal to join our dynamic team. This role involves working closely with various members of our firm to manage and complete a wide range of corporate transactions.

**Duties & Responsibilities**
- Incorporate and organize Alberta and Federal corporations, societies, and not-for-profit entities.
- Assist lawyers with complex transactions such as amalgamations, arrangements, reorganizations, and amendments.
- Register domestic and extra-provincial entities, as well as limited partnerships and limited liability partnerships.
- Prepare and file amendments for Limited Partnerships and Limited Liability Partnerships.
- Draft various corporate and tax resolutions along with supporting documents.
- Prepare dividend resolutions.
- Conduct minute book reviews.
- Input and maintain corporate entities in the corporate database and document management systems.
- Ensure all work is completed with a high level of accuracy and attention to detail.
- Collaborate effectively within a team environment while maintaining the ability to work independently when required.

**Qualifications & Skills**
- A minimum of 4+ years of experience as a corporate paralegal. Completion of a paralegal diploma or certificate is considered an asset.
- Extensive experience in all aspects of corporate work.
- Experience with Clio is an asset.
- Alberta CORES II or III accreditation is required.
- Proven ability to work with a high degree of accuracy and strong attention to detail.
- Exceptional organizational and prioritization skills to coordinate multiple activities effectively.
- Familiarity with corporate databases, such as ALF, is an asset.
- Commitment to continuous process improvement and professional development.
- Advanced computer skills, including proficiency with PDF software, Microsoft Word, and document management systems.

Pay: $40,000.00-$60,000.00 per year
