**Job Summary**

**Essential Duties and Responsibilities**:

- Provide general corporate in-house legal advises and services
- Negotiation and drafting of a variety of commercial agreements, including NDAs, LOI, Terms Sheet, Supply Agreement, Service Agreement, Teaming Agreements, Leases etc.
- Support Business Development Team in responding to RFP
- Preparation of negotiation guidelines and ready-to-use standard contracts
- Provide legal support to other business partners, such as finance, supply team, business development and HR team
- Liaise with external lawyer in foreign countries.
- Support the VP Legal Affairs, General Counsel and Chief Compliance Officer in the context of acquisitions, financing, corporate reorganizations and implementation of policies and processes
- Support the VP Legal Affairs, General Counsel and Chief Compliance Officer in her role as Chief Compliance officer, including compliance with the Quebec French Charter and Quebec Privacy legislation (bill 25).
- Organize and maintain electronic documentation and records
- The role will report directly to the VP Legal Affairs, General Counsel and Chief Compliance Officer in Dorval (Quebec).

**Education and/or Work Experience Requirements**:

- Bachelor of Laws (LLB). Common Law degree a strong asset.
- 7 years of experience as in-house corporate counsel in a big company having international operations.
- Strong in commercial law, contract negotiation and drafting.
- Experience in government contracting a strong asset.
- Able to work under pressure and meet tight deadlines.
- Excellent problem solving, business acumen, analytical and organizational skills.
- Self-driven and resourceful.
- Excellent interpersonal and communication skills.
- Excellent writing skills in English; Knowledge of other foreign languages would be an asset (German).
- Proactive, creative and quick learner.
- Excellent working knowledge of MS Office (Word, Power point, SharePoint and Teams).
