In this role, the Senior Corporate Law Clerk primarily supports the subsidiary governance function of Manulife’s Global Corporate Legal Affairs team. Based out of Toronto and reporting to the Paralegal Director and Shared Services Team Lead and working closely with the AVP & Associate Chief Counsel, Global Subsidiary Governance, the Corporate Law Clerk will ensure that the subsidiaries they are responsible for maintaining meet all their corporate regulatory obligations in a timely and cost-efficient manner. Through our shared services model, the incumbent will also support other functions of the Global Corporate Legal Affairs team, as appropriate, including: assisting other members of the shared services team with corporate and/or securities filings or registrations, as well as the authentication and legalization of official documents and gaining exposure to investment transactions.This is a hybrid role, mandatory attendance in-office every Tuesday, Wednesday and Thursday.Position Responsibilities:1. Provides support to lawyers and internal clients regarding the corporate secretarial functions of several Manulife subsidiaries, including:Acting as Assistant Corporate Secretary.Handling corporate records, including maintenance of minute books, share registers, and the legal entity database and ensuring all relevant data is accurate, current and complete.Preparing documents for formation and dissolution of entities.Drafting organizational resolutions, bylaws, and minutes.Preparing and filing extra-provincial and territorial registrations, amendments, and annual returns.Preparing routine documentation in support of intercompany transactions.Assisting in post-closing organization of transactions.Preparing board meeting materials, including notices and board books, as well as scheduling of board and committee meetings and drafting meeting agendasPreparing officer and notarial certificates.Responding to requests for information relating to corporate secretarial matters from a variety of internal clients.Assisting in the preparation of quarterly reports.2. Monitors developments in Canadian legal requirements relevant to corporate matters and revises precedent documents and internal processes and procedures to address regulatory changes.3. Supports project-based initiatives relating to subsidiary governance under the mentorship and supervision of the AVP & Associate Chief Counsel, Global Subsidiary Governance. Required Qualifications:5+ years of experience as a law clerk, ideally as a corporate law clerk. Experience in a major law firm or in-house legal department of a major corporation is an asset.Paralegal License or Diploma from a recognized Ontario Law Clerk program certified with The Institute of Law Clerks of Ontario (or an equivalent program from another Canadian common law jurisdiction).
