Job Summary

We are seeking a lawyer with a focus on business, transactional, and corporate law for our Montreal office. The ideal candidate will have 3-5 years' experience in business, transactional, and corporate law, specifically in mergers and acquisitions, with knowledge of financing.

Key Responsibilities
  • Oversee and manage transactions, overall file management, and client transactional matters;
  • Conduct due diligence on mergers and acquisitions, as well as review and issue legal opinions specific to this field;
  • Draft and review all transactional business agreements, including documents specific to the purchase and sale of businesses, shareholders' or partners' agreements, as well as transactional documents and commercial contracts in this area;
  • Participate in the drafting and preparation of financing documents for mergers and acquisitions;
  • Supervise the drafting of share capital structures, as well as various corporate and transactional documents specific to corporate and tax reorganizations.
Requirements
  • Proficiency in legal software;
  • Fluency in spoken and written French;
  • Fluency in spoken and written English;
  • Ability to analyze and synthesize;
  • Ability to plan and manage various files;
  • Ability to manage tight deadlines;
  • Organizational skills and autonomy;
  • Sense of responsibility, speed of execution, and initiative;
  • Versatility, flexibility, and team spirit.
