Role Title: Legal Counsel

Purpose of Role: As a key member of the Foresters Financial legal team, the Counsel position plays a vital role in supporting the organization's strategic objectives by providing high-quality legal services and advice to various departments.

  • Provide comprehensive legal support, advice, and services to in-house lawyers, senior management, officers, and employees across Foresters in Canada and the US, encompassing areas such as:

Procurement and commercial contracts

General corporate commercial advice and services

Litigation management

Insurance and employment law

Laws relating to Fraternal Benefit Societies

The Counsel will also provide legal services to various areas of the organization as needed to assist Foresters in achieving its goals.

  • Conduct thorough legal research, identify legal issues and risks, develop and recommend legal strategies and solutions; draft legal opinions and provide advice on a wide range of legal matters.
  • Contribute to an effective corporate governance compliance program for Foresters and its subsidiaries by serving as a corporate secretarial resource as needed for Foresters Board Committees.
  • Manage internal and external legal resources, including needs analysis, resource allocation, and project monitoring.
  • Direct the work of paralegals assisting with various legal files and matters.
  • Litigation management and directing the work of external counsel as needed.
  • Develop and deliver a program for internal client development and education to assist clients in performing their functions and to maximize law department resources.
  • Stay up-to-date with statutory developments and evolving jurisprudence in multiple jurisdictions.
  • Participate in Foresters employee development and community service programs.

Key Qualifications:

  • Five to twelve years of legal experience.
  • A subject matter expert in two or more areas of law.
  • Ability to assist other departments in understanding and meeting their legal obligations.
  • Effective communication and collaboration skills to manage working partnerships with all levels of the organization and within the legal department.
  • Proficient with technology, legal research, and concise memo drafting.
  • Ability to communicate complex issues to individuals outside the legal profession.
  • Ability to identify potential sources of significant exposure, consequences, and risk mitigants.
  • Ability to identify the need and then hire expert lawyers when the issues involved require more extensive knowledge/experience or when insufficient internal legal resources are available.
  • Creative and adaptable.
