About the Role

As a Corporate Law Clerk, you will be responsible for assisting lawyers with Ontario and Federal filings, maintaining corporation minute books, identifying deficiencies in records, and conducting due diligence searches. Your strong organizational skills and ability to work efficiently under pressure will be essential in managing multiple priorities.

Responsibilities
  • Assist lawyers with incorporations, registrations, reorganizations, amalgamations, continuances, and dissolutions of corporations
  • Maintain corporation minute books, including preparation of resolutions, updating registers, and ledgers, and preparation of share certificates as required
  • Identify deficiencies in corporate records and rectify them
  • Conduct due diligence searches and analyze results
  • Work with lawyers to prepare commercial agreements, loan documents, and other related transactions
Requirements

To be considered for this role, you should have:

  • 8+ years of experience in corporate law, preferably with a focus on transactional matters
  • Strong proficiency in Microsoft365, including Outlook, Word, Teams, and PowerPoint
  • Excellent organizational, time management, and multi-tasking skills
  • Effective verbal and written communication skills
Compensation

We offer a competitive salary range of $80,000 - $120,000 per year, depending on experience, to support your career growth and financial stability.
