Senior Legal Counsel

Our company is seeking a highly skilled Senior Legal Counsel to join our team. As a key member of our Legal & Integrity team, you will play a critical role in providing end-to-end legal and contract management services to our North American operating unit.

Key Responsibilities:
  • Review and negotiate contracts, drafts commercial agreements, and other contractual terms in collaboration with relevant business stakeholders and L&I team members.
  • Oversee contract management, monitor legal affairs, including litigations and reporting, and occupy a seat at the table on local strategic business matters.
  • Ensure good corporate governance, including structuring, drafting, and negotiation, in their area of accountability, where required, with respect to Mergers & Acquisitions (M&A)/divestiture and investment transactions.
  • Counsel the management and business teams on legal risks associated with their strategy, plans, or decisions and on the business impact of changes/amendments in law from time to time.
  • Responsible for handling major legal tasks involving problems of recognized complexity and ambiguity in facts, using their legal judgment and experience, and independent reasoning.
  • Support anticipating future business and legal opportunities and challenges and develop appropriate strategies to address them.
  • Identify risks, external threats, and opportunities to the company, proactively, and propose appropriate strategies.
  • Contribute to effectively grow and manage the Annual Performance Plan (APP) and controls outside counsel expenditures.
Requirements:
  • Law degree LLB (Canada) strong common law experience.
  • ~ 5-7+ years post-qualification experience practicing commercial law, either as a private practice associate or as an in-house legal counsel.
  • ~ Strong communication skills in both French and English. French is required. English is required to communicate with customers outside Quebec on a regular basis. Ability to communicate in Spanish would be an asset.
  • ~ Strong drafting and negotiation skills and ability to work in a complex international environment.
  • ~ S. bar membership or cross-training and experience with US law would be an advantage.
  • ~ Experience with projects related contracts, intellectual property, digital environments, and data privacy is highly desired.
