Job Summary
We are seeking a skilled Senior Commercial Lawyer to join our team. As a key member of our legal team, you will be responsible for drafting, negotiating, and managing commercial customer contracts. You will also participate in related projects as needed.
Responsibilities
- You will be responsible for legal management of the full deal cycle, including reporting and communicating status of contracts and managing negotiations collectively with internal stakeholders.
- You will oversee development of, and approvals for, customer deals, working with internal stakeholders to coordinate approvals and address business issues between various departments (e.g., sales, finance, tax, and insurance) and stakeholders and mitigating risks.
- You will draft, review, and negotiate moderately complex customer contracts and channel/resale contracts to ensure principles meet Equinix's business requirements and align to internal stakeholder's approval standards.
- You will provide legal advice to internal stakeholders while demonstrating a keen understanding of commercial considerations; working closely with and providing strategic guidance to the business, including senior management across the organization.
- You will provide ancillary advice and complete required administrative tasks on various issues including early contract termination, novations, price increases, renewals, amendments, customer rights, and ensuring changes are properly documented.
- You will be prepared to function as part of the wider global legal team and undertake global projects, initiatives, deals, corporate or other commercial transactions as may arise or be assigned.
- You will be a close partner to the business, responsible for a broad spectrum of commercial legal and compliance matters within Equinix's business and may be assigned ownership of the commercial activities in a country, a particular business unit, or specific industry areas.
- You will analyze customer requests for information, advise the business on how best to respond, and be able to independently draft accurate and comprehensive responses under tight deadlines.
- You will identify customer contract aspects that do not comply with Equinix policies, processes, and procedures and escalate issues to stakeholders/approvers/appropriate party to address non-compliance.
- You will develop templates for customer transactions (e.g., new product offering, new policies).
- You will work with external counsel where required.
Requirements
- You must have a law degree from a recognized university with a minimum of 6 to 10 years practice experience. You must be admitted to practice in a US state or Canadian jurisdiction where based.
- You must have extensive experience in sell-side contract negotiation.
- You must have a strong ability to identify business concerns of both parties to the transaction and then be able to creatively ascertain and draft bespoke contract provisions to solve for those concerns in a way that mitigates legal risks and accomplishes business objectives.
- You must have experience working on a collaborative team with key business stakeholders in Sales, Finance, Product, and Operations to identify key business concerns with contract provisions, and project manage development of documents during the contract negotiation and drafting process.
- You must be competent, engaged, accurate, resourceful, independent, organized, able to prioritize, an effective time manager, and able to work in a team.
- You must be prepared to use current legal technology including contracts management systems and document and email management systems.
- You must be articulate, with great communication and drafting skills, and fluency in English. Being effective negotiating and drafting in a second language (such as Spanish or French) would be an advantage.
