Job Summary: We are looking for a highly skilled Law Clerk with a strong background in corporate governance practices to join our team as a CORPORATE LAW CLERK. The successful candidate will be responsible for handling a large volume of requests related to day-to-day corporate activities, including share issuances, transfer requests, and changes in directors, officers, and registered office.

Main Responsibilities:

  • Handle large volume requests related to day-to-day corporate activities, including but not limited to share issuances, transfer requests, and changes in directors, officers, and registered office.
  • Maintain and update minute books for multiple corporate entities, ensuring all corporate records are properly organized and in good standing.
  • Establish and maintain Employee Stock Option Plans (ESOP), including processing grants and exercises.
  • Collaborate with team members across various offices to ensure tasks are completed efficiently and within deadlines.

Requirements: To be successful in this role, you will need to have a strong knowledge of corporate governance practices and corporate law, particularly about Ontario-based corporations governed by the Canada Business Corporations Act. You should also have 3+ years' experience working as a Law Clerk, with highly proficient skills in managing large volumes of requests and documentation in a timely and organized manner.
