Job Overview

The Business Law Specialist role is a hybrid position based out of our downtown Toronto office. The ideal candidate is self-motivated, highly organized, and disciplined, with the ability to respond in a fast-paced environment.

This role provides legal services in support of counsel, supporting multiple counsel roles with complex portfolios. The Business Law Specialist operates at various levels within a fast-paced, deadline-sensitive environment, providing assistance with case research, document drafting, and trial preparation. They manage or participate in administrative and operational projects, maintain timelines and action plans, prepare correspondence, and monitor budget.

The Business Law Specialist leads/participates in special projects assigned by legal counsel or the Office of the General Counsel. They build effective relationships with business/group teams, provide advice on standard processes, and ensure compliance with internal procedures. This position is privy to sensitive and confidential Bank Matters which may impact the Bank's reputational risk.

Responsibilities include:
- Responding to client onboarding team quickly regarding client regulatory representation letters relating to Dodd-Frank Act and similar requirements.
- Negotiating cleared derivatives execution agreements and other derivatives documentation.
- Preparing legal documents and reports.
- Coordinating and monitoring government filings process.
- Conducting research, compiling information, and reporting.
- Maintaining corporate records and registrations, and corporate database.
- Developing/maintaining information management systems and ensuring data integrity.
- Handling sensitive/confidential Bank information while minimizing legal risk.
- Arranging requirements and materials for the facilitation of meetings.
- Responding to internal/external inquiries concerning corporate information, legal agreements, and certain legal issues.
- Executing work to deliver timely, accurate, and efficient services and support.
- Operating effectively in a high stress environment with constantly changing expectations.
- Focusing on a business/group.
- Thinking creatively and proposing new solutions.
- Exercising judgment to identify, diagnose, and solve problems within given rules.
- Working mostly independently.
- Receiving broader work or accountabilities as needed.

Qualifications

- Typically at least 5 years of relevant experience and a post-secondary degree in a related field of study or an equivalent combination of education and experience.
- Specialized knowledge from education and/or business experience.

- Influence skills - In-depth.
