Role Overview

We are seeking a highly skilled Corporate Sr. Law Clerk to join our Legal team at Sagen, Canada's leading private mortgage insurance company. As a key member of the team, you will play a critical role in providing compliance and legal support across the business, as well as to the Board of Directors.

About the Role
  • Assist the Vice President, Associate General Counsel in preparing board and shareholders' meetings, including scheduling, documentation, and ensuring timely delivery of board materials.
  • Collaborate with the Legal team to draft governance documents, manage Diligent Board Books, and maintain minutes books for all corporate entities.
  • Facilitate Legal's response to internal and external audit requests, providing supporting documentation and addressing questions, comments, and findings.
  • Maintain an external system (Venue) to ensure contracts, policies, and minutes are available online for review and due diligence exercises.
  • Manage a repository of corporate policies and committee mandates, circulating documents for review and maintaining version control.
  • Draft new lenders' onboarding materials in collaboration with Sales and update existing material agreements.
  • Coordinate vendor management of legal suppliers, including contract management and payment processing.
Key Responsibilities
  • Ensure accurate and timely completion of Sagen regulatory filings (e.g., OSFI, AMF, FCAC, TSX, SEDI, IIROC, and provincial filings).
  • Maintain the Regulatory Compliance Management System, ensuring ongoing updates to keep the system current.
  • Provide general assistance to the Legal team and coordinate news releases with wire services.
Requirements
  • Post-secondary education as a Paralegal and/or Legal Assistant or related work experience.
  • Minimum 3+ years of experience in a corporate secretary's department of a public company or law firm, preferably in the corporate and/or insurance industry.
  • Demonstrated understanding of compliance requirements for federally regulated financial institutions and publicly listed companies.
  • Knowledge of public company and OSFI regulatory requirements is an asset.
  • Experience administering a Board Portal platform (Diligent) is considered an asset.
