We are currently seeking an experienced Senior Legal Counsel to join our MDA Legal team. Reporting directly to the Associate General Counsel, this role will provide critical support on various aspects of corporate law, mergers and acquisitions, commercial transactions, and regulatory matters across our business units.

About the Role

  • This position requires an LLB or JD from an accredited law school and membership in good standing of a Canadian provincial bar.
  • The ideal candidate will have at least 6 years of post-call experience as a lawyer, with expertise in domestic and international commercial transactions, preferably within the aerospace, defense, or high-technology sectors.
  • Demonstrated ability to provide business-oriented legal advice and recommendations is essential for success in this role.
  • Strong communication skills, attention to detail, and excellent interpersonal skills are also crucial for building strong working relationships across the organization.

Key Responsibilities

  1. Provide timely guidance and risk analysis on all types of legal issues, including mergers & acquisitions, commercial contracts, corporate governance, and regulatory matters.
  2. Review complex commercial contracts and support contract negotiations with external and internal stakeholders.
  3. Supervise and coordinate with external counsel where needed, including on annual public company disclosure related matters.
  4. Provide legal support to the Security and Compliance team on anti-corruption and third-party due diligence, export control, and safeguarding classified information.

Security Clearance Required

The successful candidate must obtain and hold security clearance at the NATO Secret level and pass the Controlled Goods Program (CGP) assessment.
