Job Overview
  • As Chief Corporate Counsel, you will provide legal advice and support related to corporate governance, business operations, transactions, contracts, and compliance.
  • You will work with companies undergoing high growth, requiring a strong background in corporate law.
Your Key Responsibilities
  • Support corporate matters, including governance initiatives, strategic transactions, securities compliance, and other corporate matters.
  • Draft and implement policies, engage with the Board, and advise on governance structure.
  • Manage entity management, equity compensation, and corporate-related matters for domestic expansion efforts.
  • Develop processes for scaling legal support, including securities law compliance, subsidiary management, and equity matters.
  • Provide legal guidance on employment law, intellectual property, and real estate matters as needed.
  • Collaborate with cross-functional teams to ensure legal compliance and risk management in all areas of the business.
Requirements
  • Juris Doctor degree from an accredited law school with a license to practice in California.
  • Experience at fast-paced technology companies and/or technology-focused law firms, preferably in Clean Tech or Renewable Energy.
  • Knowledge of venture capital financings, mergers and acquisitions, due diligence, and deal structuring.
  • Strong negotiation and contract drafting skills.
  • Ability to manage multiple projects and prioritize competing demands.
