Job Summary
The Toronto-Dominion Bank (Canada) is seeking a highly skilled and experienced Counsel II to join its Legal Department. As a key member of the Distribution, Innovation/IP and Customer Experience (DICE) Legal team, you will provide legal advice and support for various aspects of Transformation, Enablement & Customer Experience and Platforms & Technology (TECE-P) at TD.
Key Responsibilities
- Provide strategic, practical and timely legal advice to business teams, control partners and other internal stakeholders in connection with Distribution (i.e., Phone & Digital Channels), Innovation (e.g. technology, business and process innovation), and Customer Experience projects and initiatives.
- Draft, review and be familiar with applicable terms of use and disclosures, and draft changes to such documentation and procedures when required.
- Assess legal and reputational risk of new initiatives or changes to existing products and services.
- Review marketing materials relating to these products and services.
- Advise on, negotiate and draft agreements with business clients.
- Be familiar and stay current with, as well as draft briefings and advise on, evolving laws and regulations governing relevant projects and initiatives, and advise relevant business units accordingly.
- Build and maintain excellent, collaborative working relationships internally and externally and regularly advise and collaborate with other representatives of control functions within the bank.
- Contribute to colleague development within the Legal Department by discussing relevant legal issues or regulatory changes that arise in the context of the team's work or other areas you have experience with.
- Oversight of external counsel performing work in areas of responsibility.
- Contribute to high priority special projects and Legal Department initiatives.
- Assisting with knowledge management with respect to advice given and other knowledge assets.
Requirements
- A law degree from an accredited law school and qualification to practice law in Canada.
- Versatile self-starter with demonstrated ability to take initiative and work independently as well as part of a team, and make risk-based decisions.
- Superior analytical ability and written/verbal communication skills, both in legal and business settings.
- Ability to simplify, problem solve, multitask and work effectively against multiple deadlines with speed, agility attention to detail.
- Independent thinker with excellent judgment who also has strong interpersonal skills and the ability to work effectively with multiple partners and in cross-functional teams.
- Comfortable working in ambiguity and a constantly changing, time-sensitive environment.
- Willingness to learn and a natural curiosity for exploring a wide range of topics.
- Ability to create a welcoming environment that encourages different perspectives and new ideas, building a culture of openness and creativity across the organization and the wider community.
- Ability to work effectively with external counsel.
- 3+ years of experience practicing law at a major law firm or in-house (technology, regulatory or corporate experience preferred) is an asset.
- Financial services experience is an asset.
