We are seeking a highly experienced Senior Corporate Counsel to join our team at Superior Propane. This role will provide strategic and day-to-day operational legal advice and assistance on commercial transactions, contracts, litigation, employment, and regulatory matters in both Canada and the United States.

Job Description:

The ideal candidate will have 9+ years of legal experience with a focus on corporate/commercial law, ideally with a mix of in-house and top-tier law firm experience. They will have a deep understanding of commercial and corporate law, broad and well-rounded legal experience, and the capability to support a large commercial business with significant operations in Canada and the US.

This role requires strong analytical and problem-solving skills, excellent communication and presentation skills, and the ability to convey complex concepts to non-legal stakeholders at all levels of the organization. The successful candidate will be a business partner to various teams, including sales, finance, procurement, marketing, and operations, to provide legal support and guidance on commercial issues impacting both Canada and the US.

A key responsibility of this role is to identify potential legal risks in commercial transactions and execution of business strategies involving both Canadian and US operations and provide proactive risk management strategies. Additionally, the successful candidate will work closely with senior leadership, divisional leadership teams, and internal and external legal counsel to further the strategic goals of the organization while ensuring compliance with applicable Canadian and US laws and regulations.

We offer a competitive salary range of $150,000 - $200,000 per year, depending on experience. We also offer a comprehensive benefits package, including health and wellness spending accounts, maternity leave top-up, employee assistance program, and more.

Key Responsibilities:
  • Draft, review, and negotiate a broad range of commercial agreements, including sales contracts, acquisition and divestiture related agreements, service agreements, leases, supply contracts, distribution agreements, non-disclosure agreements, and licensing agreements that span both Canadian and US contexts.
  • Provide legal support on complex commercial transactions, including mergers and acquisitions (M&A), joint ventures, and strategic partnerships with cross-border implications.
  • Advise internal stakeholders on the legal risks and implications of commercial transactions in both Canada and the US, ensuring that business objectives are met while minimizing legal risk.
  • Ensure that all commercial activities comply with relevant Canadian and US corporate law, and other federal, provincial, and state regulations.
  • Assist the CLO and Corporate Secretary as needed with board-related matters, including preparing board resolutions, attending board and committee meetings, preparing minutes, and governance documents for both Canadian and US contexts.
  • Identify potential legal risks in commercial transactions and execution of business strategies involving both Canadian and US operations and provide proactive risk management strategies.
