About the Role

Caseware International is seeking a highly skilled and experienced VP, Legal Counsel to join our senior leadership team. As a key member of our organization, you will play a pivotal role in shaping and scaling our legal function to support our growing business.

Key Responsibilities
  • Lead the Legal Team: Provide day-to-day legal advice and guidance on risk mitigation, customer/vendor contracts, data processing and security, corporate leases, and insurance.
  • Scale the Legal Team: Establish departmental strategy and oversee key customer deals, acting as a collaborative partner internally and externally.
  • Manage Complex Agreements: Draft and maintain policies, procedures, and contract templates to meet regulatory requirements and improve internal workflows.
  • Advise on Regulatory Changes: Inform the Executive Leadership Team on changes to relevant laws and regulations, including global privacy and data protection requirements.
  • Implement Compliance: Ensure compliance with global privacy laws and data protection requirements (GDPR, CCPA, COPPA).
  • Engage with Stakeholders: Support negotiations with various stakeholders globally and contribute to the organization's risk management strategies.
  • Manage External Counsel: Oversee external counsel spending and legal budget.
Qualifications
  • Active Membership: Active membership in the Law Society of Ontario (additional US State Bar membership is a plus).
  • Relevant Experience: Minimum of 7+ years of relevant legal experience in a law firm or in-house at a technology company.
  • Leadership Skills: Strong leadership skills with business acumen.
  • Team Management: Experience managing and scaling a legal team in a fast-growth SaaS company.
  • Contract Management: Significant experience drafting, reviewing, and negotiating commercial contracts for on-premise software and SaaS services.
  • Regulatory Knowledge: Working knowledge of employment law and corporate governance for international entities.
  • Mentorship: Ability to mentor Legal Team members and take ownership of projects and initiatives.
  • Data Protection: Expertise in data protection laws (CCPA, GDPR, UK Data Protection Act).
  • M&A Experience: Experience with M&A, legal due diligence, and communicating with Board Members and Investors.
