We are seeking a highly skilled and experienced Legal Counsel to join our team at Mundipharma International. As a key member of our legal department, you will provide expert legal advice and support to our business, driving strategic growth and ensuring compliance with regulatory requirements.
Key Responsibilities- Provide legal advice and support to Mundipharma International and its associated companies, including corporate divestments and acquisitions, company secretarial tasks, and government and regulatory compliance.
- Work closely with the General Counsel and other senior stakeholders to drive business growth and ensure compliance.
- Act as advisor on legal issues involving government and regulatory compliance, including company secretarial activities and preparation of Board and Shareholder resolutions.
- Advises organizations on appropriate legal action to be taken in commercial/legal circumstances, including managing Director and Shareholder approvals, and proper recordal of resolutions and decisions.
- Support M&A transactions with legal advice, drafting and other transaction-related legal work, risk management, contract management, and project-managing funds flow and negotiating with counterparties.
- Communicate with external professionals involved in corporate governance, including company auditors.
- Prepare and draft intercompany and other transactional legal agreements, perform due diligence on companies, and keep up to date with regulatory or statutory changes and policies.
- Draft and negotiate other contracts, and support other legal department initiatives, including document retention, data privacy, and legal technology implementation.
- Pro-active with the ability to work independently and drive projects to successful completion.
- Strong communication skills for interaction with directors, shareholder representatives, and colleagues in legal, finance, and commercial departments.
- Strong project and organizational management skills and proficiency in using spreadsheets and tables.
- Familiarity with Docusign and Microsoft Office Suite.
- Interest/Experience in mergers and acquisitions and financial related matters.
- Interest in international company secretarial experience in a fast-moving environment.
