Job Overview:

Kent Legal, a leading regional law firm, is seeking an experienced Corporate Law Clerk to support the day-to-day responsibilities of its Corporate Services team. The successful candidate will have 5+ years of experience in corporate law and transactional work, with a proven track record of managing annual minute book maintenance, performing due diligence reviews, and drafting complex share capital documents.

Responsibilities:

  • Complete various corporate forms and documentation
  • Assist with routine legal and administrative duties
  • Manage annual minute book maintenance/filings and perform due diligence reviews on minute books
  • Manage all documentation regarding asset purchase and sale transactions
  • Address all matters relating to corporate/commercial financing
  • Draft complex share capital and prepare and file Articles of Incorporation, Articles of Amendment, etc.

Requirements:

  • 5+ years of experience in Corporate Law and transactional work
  • Successful completion of Legal Assistant or Law Clerk diploma program
  • Demonstrative experience working within a corporate commercial practice
  • Advanced knowledge of CorpLink and experience working with a document management system
  • Proficient with MS Office 365
  • Excellent communication, interpersonal and time management skills
  • Demonstrative analytical skills, good judgment, and high attention to detail
