We are seeking a highly skilled and experienced Corporate Counsel to join our team at Definity. As a key member of our legal department, you will play a critical role in reviewing, drafting, and negotiating various types of agreements, including templates, non-disclosure agreements, licenses, professional services agreements, marketing agreements, and lease agreements.
Key Responsibilities- Collaborate with cross-functional teams to review and draft agreements, ensuring compliance with regulatory requirements and company policies.
- Analyze and interpret complex legal matters related to the operations of a P&C insurance company, providing expert advice on legal issues, regulatory compliance, intellectual property, and negotiation and contract management strategy.
- Consult with other members of the Legal team to provide sound advice and drive consistency in Definity's approach to partnering with vendors and other third parties.
- Participate in the continuous improvement of our processes and systems for contracting and legal risk management.
- Provide assistance for strategic initiatives as required.
- Law Degree from an accredited law school (LLB or Juris Doctor).
- Licensed by the Law Society of Ontario to practice law as a lawyer in Ontario.
- At least 3 years of post-call experience drafting and negotiating legal agreements, such as strategic partnerships, vendor agreements, goods and services agreements, software and other licensing arrangements, service level agreements, cloud-based services, and other technology-related offerings.
- Exposure to insurance or other financial institutions is an asset.
- Excellent communication, research, and drafting skills, including the capacity to communicate with business partners in the way they want to be dealt with.
- Outstanding judgment and ability to deal with complex issues and safeguard confidential information.
- Ability to perform under pressure, meet deadlines, and handle multiple, sometimes conflicting priorities.
- Willingness to build strong business relationships.
- Exemplary professionalism and integrity.
- Self-starter with a great attitude.
