The Board of Directors plays a crucial role in supporting the mission of Nada Holdings, Inc. by providing strategic governance and leadership.

While the day-to-day operations are managed by the CEO and staff, the partnership between the Board and management is vital. Each Board member is expected to participate in at least one working group or task force.

General Responsibilities
  • Acting as a trusted advisor to the CEO and management team.
  • Guiding the formulation of Nada Holdings, Inc.'s strategic objectives.
  • Evaluating outcomes and metrics developed by staff to assess impact and regularly measure performance.
  • Reviewing agendas and supporting documents prior to Board and committee meetings.
  • Approving the annual budget, audit reports, and significant business decisions while ensuring compliance with legal and fiduciary obligations.
  • Contributing to the annual performance assessment of the CEO.
  • Assisting in the identification and recruitment of new Board members.
  • Collaborating with the management team and other Board members to ensure the execution of Board resolutions.
  • Participating in committees or task forces and undertaking special assignments.
  • Supporting fundraising and partnership initiatives.
  • Representing Nada Holdings, Inc. to stakeholders and acting as an ambassador for the organization.
  • Promoting a commitment to diversity within the Board and staff.
Role-Specific Responsibilities
  • Providing advisory support to the Board and management in establishing human resources policies and enhancing talent management strategies that foster organizational performance and culture.
  • Ensuring proper governance regarding human resources policies and standards.
Board Terms and Participation

Members of the Board serve two-year terms and may be reappointed for two additional terms. Board meetings occur every two months, with committee meetings scheduled as necessary.

Qualifications:

We are looking for candidates with relevant experience to fulfill this role:

  • Professional background in developing digital services or capabilities within civic tech or public sector environments.
  • Must reside in Canada, with preference for candidates outside of Ontario.
  • Experience in the public sector or with municipal or provincial government organizations is advantageous.
  • A strong understanding of Nada Holdings, Inc.'s unique value proposition, with an appreciation for technology, community engagement, and citizen involvement.
  • Excellent diplomatic skills and a natural ability to build relationships, including persuading, convening, facilitating, and achieving consensus among diverse groups.
  • Personal attributes of integrity, credibility, and a commitment to inclusion and collaboration.
  • Prior experience in non-profit or charitable Board leadership is a plus.

Please note: Service on the Board of Directors is voluntary, with reimbursement for administrative support, travel, and accommodation costs related to Board duties.
