Job Description

Position Overview:

A prominent law firm, in partnership with GPAC, is seeking a Corporate Securities Associate to join their team. The ideal candidate will have substantial experience in corporate and securities law, with a focus on compliance, transactions, and corporate governance. This role requires strong analytical abilities and a commitment to delivering high-quality legal services.

Key Responsibilities:

  • Securities Law Compliance: Advise clients on securities law matters, including public offerings, private placements, and continuous disclosure requirements.
  • Transaction Management: Oversee and manage corporate transactions such as mergers, acquisitions, and joint ventures, ensuring thorough due diligence and smooth closing processes.
  • Corporate Governance: Counsel clients on corporate governance issues, including board responsibilities, shareholder rights, and regulatory compliance.
  • Drafting and Negotiation: Draft, review, and negotiate a wide range of corporate documents, including shareholder agreements, purchase agreements, and other related contracts.
  • Client Relationship Management: Build and maintain strong relationships with clients, providing tailored legal advice and strategic guidance.
  • Research and Analysis: Conduct comprehensive legal research and provide analysis on complex issues in corporate and securities law.
  • Team Collaboration: Work closely with other practice areas within the firm, including litigation, tax, and intellectual property, to deliver comprehensive legal solutions.

Qualifications:

  • Education: J.D. or LL.B. from an accredited law school; admission to the bar in British Columbia.
  • Experience: A minimum of 3-4 years of relevant experience at a large firm or a smaller corporate or securities-focused firm.
  • Skills:
    • In-depth knowledge of Canadian securities laws and regulations.
    • Excellent drafting, negotiation, and analytical skills.
    • Proven track record in managing complex transactions and balancing multiple priorities.
    • Strong interpersonal and communication abilities.
  • Attributes: Detail-oriented, proactive, and capable of working both independently and as part of a collaborative team.
