Job Summary

We are seeking a highly skilled and experienced Law Clerk to join our team at one of Canada's top 10 Corporate Law Boutique Firms. As a key member of our innovative start-up community, you will be actively involved in collaborating with colleagues to deliver exceptional results.

Key Responsibilities
  • Handle large volumes of requests related to day-to-day corporate activities, including share issuances, transfer requests, and changes in directors, officers, and registered office.
  • Maintain and update minute books for multiple corporate entities, ensuring all records are properly organized and in good standing.
  • Establish and maintain Employee Stock Option Plans (ESOP), including processing grants and exercises.
  • Assist with matters related to corporate reorganizations, including continuances, amalgamations, and amendments to corporate charters and by-laws.
  • Review and update minute books in connection with various financing transactions, mergers and acquisitions deals, and other corporate transactions.
Requirements
  • Strong knowledge of corporate governance practices and corporate law, particularly about Ontario-based corporations governed by the Canada Business Corporations Act.
  • At least 3 years' experience working as a Law Clerk.
  • Highly proficient in managing large volumes of requests and documentation in a timely and organized manner.
  • Strong document management skills, with a particular emphasis on working with PDF files and related software.
  • Excellent communication skills, both written and verbal, with the ability to liaise effectively with internal teams and external parties.
Working Conditions

The successful candidate must be available to travel onsite in Kanata, Ottawa 4-5 days per week. Benefits include a competitive annual salary range ($65,000 – $70,000), hybrid working arrangements after probation, and comprehensive health benefits.
