WHAT YOU WILL DO:

ROLE

We are currently looking to hire a full-time permanent Senior Corporate Paralegal in the Calgary Head Office. This role will be a key member of STEP's legal team, working closely with our VP Legal and General Counsel, Senior Legal Counsel, the executive office, and the Board of Directors, to provide a broad range of legal support.

RESPONSIBILITIES

- Assisting in the preparation and filing of corporate documents (including Annual Information Form, Management Information Circular & AGM related documents, insider reporting, annual and quarterly financial reporting, etc.).
- Providing meaningful support in achieving the Corporation's corporate governance goals.
- Drafting meeting agendas, resolutions, and minutes.
- Administration of corporate database and contract management software.
- Drafting documentation for various corporate transactions such as intercompany agreements, incorporations, amalgamations, reorganizations, amendments of constating documents etc.
- Completion of Annual Returns and other corporate filings in various jurisdictions.
- Assist in implementing changes to contracts to comply with legislation/regulations.
- Working collaboratively with various team members to share corporate knowledge and identify process improvements.
- Maintain corporate records and minute books.
- Completing SEDAR+ and SEDI filings as required.

QUALIFICATIONS

- 8+ years of work experience as a corporate paralegal in a law firm or in-house environment.
- Experience with corporate governance at publicly traded companies.
- Bachelor's degree or certificate in paralegal studies from an accredited institution preferred.
- Prior experience with Diligent and Computershare's Global Entity Management System (GEMS) would be a significant asset.
