**PURPOSE**

UHN is seeking a results-oriented commercial and corporate lawyer to join its Legal Affairs Department for a full-time 10 month contract with a possibility of extension.

**KEY RESPONSIBILITIES**

This Legal Counsel will:

- primarily work with UHN’s business development and Integrated Care teams (including Altum Health and Connected Care), as well as various other clinical groups and their supporting departments (e.g. Digital Security, Facilities, Finance, People & Culture, Privacy, Procurement).
- draft and negotiate commercial and transactional contracts; advise colleagues on operational, legal and reputational matters to best leverage opportunities and anticipate and manage risk and disputes; engage in legal research/training to staff on legal and regulatory matters; represent Corporate Legal in committee responsibilities; and perform other responsibilities as assigned and/or requested.
- advise on corporate, governance and policy related matters.
- be the first point of contact for Managers, Directors and Senior Management, work directly with third party partners, external counsel, government and other stakeholders, and cooperatively establish a regular or as needed cadence of engagement with peers and manager(s) for proactive support and guidance.
- collaborate with other UHN legal colleagues for their expertise (e.g. health law, intellectual property, employment) and on continuous improvement projects.
- along with two other corporate lawyers, help supervise law students and engage legal and other professionals assisting the practice group.

**QUALIFICATIONS & CAPABILITIES**
- Bachelor’s Degree in Law or recognized equivalent, and member in good standing with the Law Society of Ontario
Experience drafting, structuring, negotiating and advising on complex commercial agreements, including within a regulated environment
- Familiarity with procurement and competition law essentials, in the context of acting as a purchaser or supplier of services and goods, and with other significant legislation applicable to a public hospital
- Awareness of concepts related to patient consent, substitute decision-making, discharge planning
- Proven collaborative planning skills in an evolving and fast-paced environment
- Knowledge of the role of hospital policies, procedures and protocols
- Fairness, openness, patience and a high level of integrity and judgment
- Strong verbal and written communication skills, including the ability to simplify complex regulatory or contractual concepts to be understood by a functionally diverse audience
- Excellent client service, interpersonal and diplomacy skills, strong initiative, and the ability to work well with a variety of stakeholders
- Organizational and time management skills required to handle competing and simultaneous priorities with deadline pressure
- Excellent analytical and problem-solving skills with the ability to assess legal risk in the context of business realities
- Curiosity and eagerness to learn areas about new areas and technological developments
- Minimum of two years of practical related experience
- Experience in a regulatory setting strongly preferred
