Scope of Position:
**Responsibilities**:
Diriger les négociations, la rédaction et l'examen critique d'accords liés à la vente ou à l'achat d'électricité, d'actifs, d'entreprises et d'attributs environnementaux, d'AAE virtuels, d'accords de couverture physique et financière et de transactions connexes, d'autorisations et d'environnement, d'accords d'interconnexion et de transmission, d'achat d'équipement et des contrats de construction de projets (EPC), des financements par équité fiscale et par emprunt, ainsi que des accords d'exploitation et de maintenance et de gestion d'actifs pour les actifs de production d'énergie solaire et éolienne et les installations de stockage

Supervision des négociations sur les droits immobiliers canadiens et des questions de titre, mais une expérience en droit immobilier n'est pas requise

Gérer le processus de vérification diligente pour les acquisitions et en préparation pour le financement

Soutenir les activités de développement de projets, de construction, d'exploitation, d'entretien et de gestion d'actifs de l'entreprise en fournissant des conseils juridiques et des conseils dans le cours normal des affaires

Gérer la formation, le maintien, les qualifications et la bonne réputation de toutes les entités juridiques canadiennes

Préparer des accords de services de conseil, des accords-cadres de services, des lettres d'engagement de tiers et des accords de non-divulgation.

Gérer les affaires en litige ou autres processus de règlement des différends.

Gérer les conseillers juridiques externes engagés pour représenter la Société

Aider et soutenir les autres membres du service juridique au besoin

30% voyageLead negotiations, drafting, and critical review of agreements related to the sale or purchase of power, assets, companies and environmental attributes, virtual PPAs, physical and financial hedging agreements and related transactions, permitting and environmental matters, interconnection and transmission agreements, equipment procurement and project construction (EPC) contracts, tax equity and debt financings, as well as operations and maintenance and asset management agreements for solar and wind power generating assets and storage facilities

Oversight of Canadian real property rights negotiations and title matters, but real property law experience is not required

Manage due diligence process for acquisitions and in preparation for financing

Support project development, construction, operations, and maintenance and asset management businesses of company by providing legal counsel and advice in the normal course of business

Manage all Canadian legal entity formation, maintenance, qualifications and good standing

Prepare consulting services agreements, master services agreements, third party engagement letters, and non-disclosure agreements.

Manage matters that are in litigation or other dispute resolution processes.

Manage outside legal counsel engaged to represent the Company

Assist and support others in legal department on an as-needed basis

Qualifications:
Baccalauréat en droit ou Juris Doctor.

Permis actif actuel d'un ou plusieurs barreaux provinciaux canadiens de préférence.

Au moins quatre ans d'expérience en droit des sociétés et une expérience préalable dans le domaine des énergies renouvelables dans un ou plusieurs cabinets d'avocats, agences gouvernementales ou services juridiques internes requis.

Excellentes compétences en rédaction commerciale et en négociation.

Flexibilité et volonté de travailler sur une variété de questions juridiques dans une variété de marchés et de juridictions.

Capacité à gérer simultanément une variété de tâches, à travailler rapidement et efficacement sous pression et à prioriser les activités.

Solides compétences interpersonnelles et capacité à travailler efficacement en équipe.

Des déplacements à la fois intérieurs et aux États-Unis sont requis.

Excellentes compétences en communication orale et écrite.

Parfaitement bilingue en français et en anglais, tant à l'oral qu'à l'écrit.Bachelor of Law or Juris Doctor.

Current active license from one or more Canadian provincial bar associations preferred.

At least four years of corporate law experience and prior experience with renewable energy through one or a combination of either a law firm, government agency, or in-house legal department required.

Excellent commercial drafting and negotiation skills.

Flexibility and willingness to work on a variety of legal matters in a variety of markets and jurisdictions.

Ability to simultaneously manage a variety of assignments, work quickly and effectively under pressure and to prioritize activities.

Strong interpersonal skills and the ability to work effectively as part of a team.

Travel both domestic and to the United States is required.
