**Job Title**: In-House Legal Counsel

**Location**: In person - Oakville, Ontario

Kraken Sense is a biotechnology company that develops an automated pathogen sensing platform, utilizing a cloud-based AI platform and microfluidics-based chip system. We are expanding our team and looking for an experienced in-house patent counsel to provide legal guidance and support to the company in the areas of patent law, intellectual property, and general legal guidance and support to the company. The role will be based in our Oakville office.

**Responsibilities**:

- Provide guidance to the research and development team on the development of patentable technology and assist in the identification of potential patent opportunities.
- Provide legal advice and support to Kraken Sense's business units, including research and development, manufacturing, and sales.
- Draft and review various legal documents, such as contracts, agreements, and policies.
- Ensure that Kraken Sense is in compliance with all applicable laws and regulations.
- Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights.
- Conduct patentability and freedom-to-operate searches and analyses.
- Work closely with the manufacturing and sales teams to ensure that Kraken Sense's products are not infringing on any third-party patents.
- Review and negotiate IP-related agreements, including licensing and joint development agreements.
- Represent Kraken Sense in legal proceedings related to patent law and intellectual property, including disputes and litigation.
- Collaborate with external legal advisors and consultants as needed.

**Requirements**:

- Law degree and current membership in good standing with the Law Society of Ontario.
- Minimum of 0-3 years of experience practicing law, preferably in-house at a technology or biotech company or at a law firm specializing in these areas.
- Strong understanding of Canadian and international laws and regulations related to biotechnology, intellectual property, and privacy.
- Excellent drafting and negotiating skills, with keen attention to detail.
- Ability to work independently and as part of a team in a fast-paced, dynamic environment.
- Excellent communication and interpersonal skills.
- Strong business acumen and ability to understand and address business needs.

**Preferred**:

- Experience with international legal matters.
- Familiarity with US FDA regulations.
- Experience with corporate governance and securities laws.
