**THE ROLE**

**Corporate Law**:

- Draft all resolutions and corporate documents required for Alimentation Couche-Tard inc (ACT). and its subsidiaries, including, without limitation, any documents related to changes of directors and officers, dividend declarations, issues and transfers of shares/units, incorporation, dissolution and liquidation of corporations, and any resolution in connection with commercial and corporate transactions;
- Perform all tasks related to the production of resolutions in lieu of annual meetings for certain subsidiaries of ACT.;
- Conduct timely updating of bank resolutions, certificates of function and specimen signatures and ensure the exchange of information in this regard with stakeholders;
- Conduct audits and searches of certain public registries;
- Provide general administrative support to professionals;
- Administrative management of files, filing and updating in computerized systems.

**Investment security**
- Assist in the preparation of documents related to securities offerings, continuous disclosure (quarterly and annual), share buyback program, private placement notices, etc.;
- File documents via SEDAR, insider reporting on SEDI and required reports and forms on the TSX Platform within prescribed timelines;
- Assist in the preparation of documentation for annual awards and payments under long-term incentive plans;
- Any other related duties, substantive or clerical, to provide support to the legal team, as required.

**WHAT YOU'LL NEED**

**Training**:

- Hold a diploma in paralegal technology or equivalent training;

**Experiences**:

- A minimum of 2 years of experience as a paralegal in the field of corporate law;

**Knowledge and skills**
- Knowledge of applicable securities laws is an asset;
- Mastery of electronic filing systems and software used (SEDAR, SEDI) an asset;

**Language skills**
- Bilingualism is mandatory (French and English) in both writing and speaking since the person will be called upon to serve the Anglophone and Francophone regions.

**Skills**
- Excellent sense of priorities, organization and planning, as well as an ability to manage several files at once and work under pressure;
- Demonstrate strong oral and written communication skills as well as ease in interpersonal relationships;
- Ability to analyze and interpret complex legal documents.
- Demonstrate strong skills to work in a team and in multidisciplinary teams;
- Demonstrate great attention to detail and rigor while being effective in a rapidly changing work environment;
- Demonstrate initiative, resourcefulness, flexibility and a high degree of autonomy.
