**YOUR IMPACT**:
The Associate General Counsel plays a key role in providing legal counsel and guidance on a wide range of commercial transactions, contracts, litigation, employment and regulatory matters in both Canada and the United States. Reporting directly to the CLO, this position will provide strategic and day to day operational legal advice and assistance and support the business in matters related to commercial contracts, acquisitions and divestitures, employment, litigation management, insurance, regulatory compliance, health, safety & environment, corporate governance, risk management and intellectual property. The Associate General Counsel will work closely with senior leadership, divisional leadership teams, internal and external legal counsel to further the strategic goals of the organization, while ensuring compliance with applicable Canadian and U.S. laws and regulations and identifying and managing legal and business risks to the organization.
**WHAT YOU'LL DO**:
Commercial Contracts, Mergers and Acquisitions and Transactions (Canada & U.S.)
- Draft, review, and negotiate a broad range of commercial agreements, including sales contracts, acquisition and divestiture related agreements, service agreements, leases, supply contracts, distribution agreements, non-disclosure agreements, and licensing agreements that span both Canadian and U.S. jurisdictions.
- Provide legal support on complex commercial transactions, including mergers and acquisitions (M&A), joint ventures, and strategic partnerships with cross-border implications.
- Advise internal stakeholders on the legal risks and implications of commercial transactions in both Canada and the U.S., ensuring that business objectives are met while minimizing legal risk.

Health and Safety, Corporate Governance and Regulatory Compliance (Canada & U.S.)
- Provide advice on health and safety legal compliance, assist with board level health and safety governance and attend divisional safety meetings to provide legal and risk management perspective and support.
- Support the CLO in advising the company on compliance with applicable Canadian and U.S. securities laws, TSX regulations, and corporate governance practices.
- Ensure that all commercial activities comply with relevant Canadian and U.S. legislation, including the Canada Business Corporations Act (CBCA), applicable U.S. corporate law, and other federal, provincial, and state regulations.
- Assist the CLO and Corporate Secretary as needed with board-related matters, including preparing board resolutions, attending board and committee meetings, preparing minutes, and governance documents for both Canadian and U.S. operations.

Risk Management, Litigation and Dispute Resolution
- Identify potential legal risks in commercial transactions and execution of business strategies involving both Canadian and U.S. operations and provide proactive risk management strategies.
- Support the CLO in managing litigation, disputes, claims, and litigation, including working with external counsel in both Canada and the U.S.
- Support the CLO and business teams in oversight and management of the legal aspects of the corporate insurance program, including the management of claims and litigation with the assistance of external counsel, working with the company’s insurance brokers and underwriters and oversight of required reporting.

Cross-Functional Collaboration
- Act as a business partner to various teams, including sales, finance, procurement, marketing, and operations, to provide legal support and guidance on commercial issues impacting both Canadian and U.S. operations.

Privacy and Intellectual Property Matters
- Provide guidance on data privacy and protection laws in both Canada and the U.S., including compliance with Canadian privacy legislation (e.g., PIPEDA) and U.S. pr
