Legal Counsel

**Location: Longueuil, Québec—Possibility to work from home #LI-Remote**

**mdf commerce Inc **. is an international team of approximately 650 experts who develop a broad set of SaaS solutions to optimize and accelerate commercial interactions of its B2B and B2G customers.

Our legal department is looking for a sharp commercial legal counsel to join its dynamic team in a context of rapidly growing business.

**What will your main responsibilities look like?**

Under the direction of the Vice President, Chief Legal Officer & Corporate Secretary, you will be led to:

- Providing legal support and day-to-day business advice to the various groups of the Company, especially from a commercial point of view, and ensuring that transactions are compliant with the Company’s rules, policies and business objectives and in conformity with all applicable laws and regulations;
- Drafting, analyzing, reviewing and negotiating commercial contracts and advising on information technology and data privacy issues;
- Assisting business units in negotiations with clients and suppliers;
- Providing legal coaching to the various groups of the Company;
- Developing and updating a bank of precedents;
- Managing and liaising with outside counsels in Canada and foreign jurisdictions when required;
- Assisting in the management of the Legal Team filing, contract management and record-keeping system;
- Occasional travel may be required.

- Your excellent knowledge of Canadian commercial law, including data privacy and information technology;
- Your superior drafting, analyzing, negotiating and communicating skills;
- Your proven track record of outstanding achievements and accomplishments;
- Your strong leadership, motivation and self-confidence, as well as your professional attitude;
- Your ability to work with mínimal supervision;
- Your ability to work under pressure, handle multiple competing priorities and provide practical legal advice;
- Your excellent English and French language skills, both oral and written, due to frequent interactions with English and French speaking internal and external colleagues and partners across Canada and the United States;
- Your relevant work experience (6 to 8 years);
- Your experience and knowledge in the field of information technology and/or SaaS businesses preferred;
- Your “business partner” mindset, customer and team oriented, able to work closely and develop strong relationships with people from all levels;
- Your membership in the Barreau du Québec or another recognized law society.
